These Terms of Service ("Terms") govern your access to and use of the website located at netraeyeinstitute.com and any related pages, content, and features (collectively, the "Site") operated by Netra Eye Institute and its affiliates (referred to in these Terms as "Netra," "we," "us," or "our"). Please read these Terms carefully. They contain important information about your legal rights, including a class-action waiver and an agreement to resolve certain disputes through binding arbitration.

1. Acceptance of These Terms

By accessing, browsing, or otherwise using the Site — including by submitting an inquiry, request, or lead form — you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated into these Terms by reference. If you do not agree to these Terms, do not access or use the Site.

You represent that you are accessing the Site on your own behalf or, if you are using it on behalf of a company or other legal entity, that you are authorized to bind that entity to these Terms, in which case "you" refers to that entity.

2. About This Website — Informational Purposes Only; Not a Franchise Offer

The Site is provided for general informational and marketing purposes and to allow prospective candidates to express interest in the Netra Eye Institute franchise opportunity. The Site is a lead-generation and educational resource only.

Nothing on the Site constitutes, or should be construed as, an offer to sell, or the solicitation of an offer to buy, a franchise. A franchise offering can be made by us only in a jurisdiction in which we are legally authorized to do so, and only through delivery of a Franchise Disclosure Document ("FDD") in compliance with the U.S. Federal Trade Commission's Franchise Rule (16 C.F.R. 4. Eligibility

Trademarks. "Netra Eye Institute," "Netra Restoration Therapy," "NRT," the Netra logos, and all related names, designs, slogans, and service marks are trademarks or service marks of Netra or its affiliates (the "Marks"). Other names, logos, and marks appearing on the Site may be the trademarks of their respective owners. Nothing on the Site grants you any license or right to use any Mark without our prior written permission, and your use of the Marks in any manner that is likely to cause confusion, or that disparages or discredits Netra, is strictly prohibited.

Limited license. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and view the Content for your own personal, non-commercial, informational use in evaluating the Netra franchise opportunity. Except as expressly permitted, you may not copy, reproduce, republish, upload, post, transmit, distribute, modify, translate, create derivative works from, publicly display, frame, scrape, sell, license, or otherwise exploit any Content without our prior written consent. All rights not expressly granted are reserved by Netra.

6. Acceptable Use and Prohibited Conduct

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not, and will not permit or assist any third party to:

  • Violate any applicable federal, state, local, or international law or regulation, or infringe or misappropriate the intellectual property or other rights of any person;
  • Access, tamper with, or use non-public areas of the Site, our systems, or the technical delivery systems of our providers;
  • Attempt to probe, scan, or test the vulnerability of any system or network, or breach or circumvent any security or authentication measure;
  • Use any robot, spider, scraper, crawler, or other automated means to access the Site, harvest data, or extract Content, except as permitted by our published robots.txt file or with our prior written consent;
  • Introduce any virus, malware, worm, Trojan horse, or other harmful or disruptive code, or take any action that imposes an unreasonable or disproportionately large load on our infrastructure;
  • Impersonate or misrepresent your affiliation with any person or entity, or provide false, inaccurate, or misleading information;
  • Interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements, procedures, policies, or regulations of connected networks;
  • Use the Site to send unsolicited or unauthorized advertising, promotional materials, "spam," or any other form of solicitation; or
  • Use the Site in any manner that could disable, overburden, damage, or impair it, or interfere with any other party's use of the Site.

We reserve the right, but assume no obligation, to monitor use of the Site and to investigate and take appropriate action against anyone who, in our sole discretion, violates these Terms, including removing content, suspending or terminating access, and reporting activity to law enforcement.

7. User Submissions and Lead Forms

The Site allows you to submit information through inquiry forms, lead-capture forms, and other communications (collectively, "Submissions"). By making a Submission, you agree to the following:

  • Accuracy. You will provide information that is true, accurate, current, and complete, and you will keep it updated. You are responsible for the content and accuracy of any Submission.
  • Consent to be contacted. By submitting your contact information, you consent to be contacted by Netra and its authorized representatives regarding the franchise opportunity and related information, by email, telephone, text/SMS message, or other means using the contact details you provide, including through automated technology where applicable. Message and data rates may vary. Your consent is not a condition of any purchase, and you may opt out of marketing communications at any time as described in our Privacy Policy or by following the unsubscribe or opt-out instructions provided. Our collection and use of personal information is further described in our Privacy Policy.
  • How Submissions may be used. Except for personal information, which is handled in accordance with our Privacy Policy, you grant Netra a worldwide, perpetual, irrevocable, royalty-free, transferable, and sublicensable license to use, reproduce, store, adapt, and otherwise process any Submission for the purpose of operating our business, responding to your inquiry, evaluating candidates, and improving the Site and our services.
  • No confidentiality. Except for personal information governed by our Privacy Policy and any information covered by a separate written confidentiality agreement signed by us, we do not treat Submissions as confidential or proprietary. Do not send us any confidential, trade-secret, or proprietary information through the Site. We are not liable for any use or disclosure of any non-personal Submission.
  • Your responsibility. You represent and warrant that you own or control all rights in your Submissions and that your Submissions do not violate these Terms or the rights of any third party.

8. Forward-Looking Statements; No Guarantee of Results

The Site may contain forward-looking or aspirational statements about the franchise opportunity, markets, business concepts, growth, or potential outcomes. These statements reflect current expectations and involve known and unknown risks and uncertainties. Actual results may differ materially.

The decision to award a franchise rests in our sole discretion and is subject to our qualification criteria and the terms of the FDD and franchise agreement. The Site may contain links to third-party websites, resources, products, or services, and may display content provided by third parties. These links and materials are provided solely for your convenience and information. We do not control, endorse, sponsor, or assume responsibility for any third-party websites or content, and we make no representations about their accuracy, completeness, legality, or suitability. Your access to and use of any third-party site or resource is at your own risk and subject to that third party's terms and policies. We encourage you to review the terms and privacy policies of any third-party site you visit.

10. Disclaimer of Warranties

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, PRODUCTS, AND SERVICES PROVIDED ON OR THROUGH THE SITE ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE FULLEST EXTENT PERMITTED BY LAW, NETRA DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

NETRA DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE CONTENT IS ACCURATE, COMPLETE, RELIABLE, CURRENT, OR OTHERWISE SUITABLE FOR ANY PURPOSE. YOU ASSUME TOTAL RESPONSIBILITY AND RISK FOR YOUR USE OF THE SITE AND YOUR RELIANCE ON ANY CONTENT.

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL NETRA OR ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, OR SERVICE PROVIDERS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR ANY CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT NETRA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL AGGREGATE LIABILITY OF NETRA AND THE PARTIES LISTED ABOVE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100.00).

THE LIMITATIONS IN THIS SECTION APPLY TO THE FULLEST EXTENT PERMITTED BY LAW AND WILL SURVIVE TERMINATION OF THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

12. Indemnification

You agree to defend, indemnify, and hold harmless Netra and its affiliates, and their respective officers, directors, employees, agents, licensors, and service providers, from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Site; (b) your Submissions; (c) your violation of these Terms; (d) your violation of any applicable law or the rights of any third party; or (e) any misrepresentation made by you. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate with our defense of that matter. This obligation survives termination of these Terms.

13. Governing Law and Dispute Resolution

Governing law. These Terms and any dispute arising out of or relating to them or the Site are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles, and by applicable U.S. federal law. Nothing in this Section limits the application of any state franchise law that applies notwithstanding this choice of law.

Informal resolution. Before initiating any formal proceeding, you agree to first contact us in writing at the mailing address in Section 19 and provide a written description of the dispute so the parties may attempt to resolve it informally. The parties will negotiate in good faith for at least thirty (30) days from the date of that notice.

Binding arbitration. If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms or the Site (a "Claim") will be resolved by final and binding arbitration administered by the American Arbitration Association under its then-current applicable rules, rather than in court, except as provided below. The arbitration will be conducted in South Plainfield, New Jersey, and judgment on the award may be entered in any court of competent jurisdiction. The arbitrator has exclusive authority to resolve any Claim, including any dispute over the interpretation or applicability of this arbitration agreement.

Class-action waiver. To the fullest extent permitted by law, all Claims must be brought in the parties' individual capacities and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's Claims and may not preside over any form of class or representative proceeding.

Exceptions. Notwithstanding the above, either party may (a) bring an individual claim in small-claims court if it qualifies, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information. If the class-action waiver or arbitration provision is found unenforceable as to a particular Claim, that Claim will be resolved exclusively in the state or federal courts located in Middlesex County, New Jersey, and you and Netra consent to the personal jurisdiction of, and venue in, those courts.

Nothing in this Section limits any rights or remedies available to you under applicable state franchise laws that cannot be waived, or requires arbitration where prohibited by such laws.

14. Time Limitation on Claims

To the fullest extent permitted by law, any Claim arising out of or relating to these Terms or the Site must be filed within one (1) year after the Claim arose; otherwise, the Claim is permanently barred. This limitation does not apply where prohibited by applicable law.

15. Suspension and Termination

We may, in our sole discretion and without notice or liability, suspend or terminate your access to all or part of the Site at any time and for any reason, including for any actual or suspected violation of these Terms. Upon termination, the license granted to you under these Terms will end, and the provisions that by their nature should survive — including Sections 5, 7, 8, and 10 through 18 — will continue in effect.

16. Changes to the Terms

We may revise these Terms from time to time in our sole discretion. When we do, we will update the "Last updated" date at the top of these Terms and post the revised version on the Site. Any changes are effective when posted, unless otherwise stated. Your continued use of the Site after changes become effective constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically. If you do not agree to the revised Terms, you must stop using the Site.

17. Changes to the Site

We may modify, suspend, or discontinue the Site or any part of it, temporarily or permanently, at any time and without notice or liability. We are not responsible if any Content is unavailable at any particular time or for any period.

18. General Provisions

Entire agreement. These Terms, together with our Privacy Policy and any other legal notices or agreements expressly incorporated by reference, constitute the entire agreement between you and Netra regarding the Site and supersede all prior or contemporaneous understandings on that subject. For the avoidance of doubt, any actual franchise relationship is governed exclusively by the FDD and the signed franchise agreement, not by these Terms.

Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be modified to the minimum extent necessary or, if it cannot be modified, severed, and the remaining provisions will remain in full force and effect.

No waiver. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Netra.

Assignment. You may not assign or transfer these Terms, or any rights or obligations under them, without our prior written consent. We may freely assign these Terms. These Terms bind and inure to the benefit of the parties and their permitted successors and assigns.

Relationship of the parties. Nothing in these Terms creates any partnership, joint venture, agency, franchise, employment, or fiduciary relationship between you and Netra. No franchise, agency, or similar relationship arises from your use of the Site.

Force majeure. We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control.

Notices. We may provide notices to you by posting on the Site or by using the contact information you provide. You may contact us using the information in Section 19.

Headings. Section headings are for convenience only and do not affect the interpretation of these Terms.
